Public Offer (contract for the sale of goods by distance means)

This document is the official public proposal (hereinafter — the “Offer”) of the Limited Liability Company BRUSHGROUPP (hereinafter — the “Seller”) to conclude a contract for the retail sale of goods by distance means on the terms set out below with any individual (hereinafter — the “Buyer”) who responds to this Offer. In accordance with Article 437 of the Civil Code of the Russian Federation, this Offer is a public offer. The contract concluded on the basis of this Offer is governed by Articles 492–505 of the Civil Code of the Russian Federation, the Russian Law of 07.02.1992 No. 2300-1 “On Protection of Consumer Rights”, and the Rules for the Sale of Goods under a Retail Sale Contract, approved by Russian Government Decree No. 2463 of 31.12.2020.

1. Terms and Definitions

In this Offer, unless the context otherwise requires, the terms below are used with the following meanings:

  • Seller — OOO BRUSHGROUPP (BRUSHGROUPP LLC) (INN 1685006355, KPP 168501001, OGRN 1221600073012), which sells the Goods by distance means through the Site.
  • Buyer — a legally capable individual who places an Order on the Site or purchases the Goods solely for personal, family, household, and other needs not related to the conduct of business activity.
  • Goods — cosmetic products (including hair and scalp care products) of the MY.ORGANICS brand, information about which is posted on the Site.
  • Order — a duly completed request by the Buyer for the purchase and delivery of Goods selected on the Site.
  • Site — the set of internet pages located at https://myorganics.ru, belonging to the Seller.
  • Acceptance — the full and unconditional acceptance by the Buyer of the terms of this Offer by performing the actions provided for in clause 2 of this Offer.

2. General Provisions

2.1. The posting of this Offer on the Site is a public offer by the Seller addressed to an indefinite number of persons, in accordance with Article 437 of the Civil Code of the Russian Federation.

2.2. Acceptance of this Offer, that is, the full and unconditional acceptance by the Buyer of its terms, is deemed to be the placing of an Order by the Buyer on the Site in the manner established by Section 4 of this Offer. The Buyer's performance of the said actions means the conclusion of a contract on the terms of this Offer.

2.3. By performing the Acceptance, the Buyer confirms that they have read and fully agree with the terms of this Offer, as well as with the information posted on the Site pages “Delivery and Payment”, “Returns and Exchanges”, and “Privacy Policy”, which are an integral part of this Offer.

2.4. The legislation of the Russian Federation applies to the relations between the Seller and the Buyer.

3. Subject of the Contract

3.1. The Seller undertakes to transfer the Goods into the ownership of the Buyer on the basis of the placed Order, and the Buyer undertakes to accept the Goods and pay for them on the terms of this Offer.

3.2. The name, assortment, quantity, price, and other consumer properties of the Goods are determined on the basis of the information posted on the Site and are recorded in the Order placed by the Buyer.

3.3. The Seller provides the Buyer with information about the main consumer properties of the Goods, their composition, manufacturer, price, and terms of purchase by posting the relevant information on the page of each Product on the Site.

4. Placing an Order

4.1. The Order is placed by the Buyer independently on the Site by selecting the Goods and completing the provided form, or by another method offered by the Seller.

4.2. When placing an Order, the Buyer provides accurate data necessary for the performance of the contract: surname and first name, contact telephone number, email address, delivery address. The Buyer is responsible for the accuracy of the information provided.

4.3. After receiving the Order, the Seller has the right to contact the Buyer using the specified contact details to confirm the Order and clarify its details.

4.4. If the Seller is unable to fulfil the Order in whole or in part, including due to the Goods being out of stock, the Seller notifies the Buyer thereof. The Buyer has the right to agree on a new composition of the Order or to cancel it.

5. Price of the Goods and Payment Procedure

5.1. Prices for the Goods are indicated on the Site in rubles (RUB) per unit of Goods.

5.2. The Seller has the right to change the prices of the Goods unilaterally. However, the price of the Goods ordered by the Buyer is not subject to change after the Order is confirmed by the Seller.

5.3. Payment for the Goods is made in rubles (RUB) by the methods indicated on the Site, including payment by bank card and other online payment methods available at the time of placing the Order.

5.4. The Buyer's payment obligation is deemed fulfilled from the moment the funds are credited to the Seller's account.

5.5. The specifics and available payment methods are indicated on the Site page “Delivery and Payment”.

6. Delivery

6.1. The methods, time frames, territory, and cost of delivery of the Goods are indicated on the Site page “Delivery and Payment” and are agreed with the Buyer when placing the Order.

6.2. The delivery information posted on the said page is an integral part of this Offer.

6.3. The Buyer is obliged to accept the Goods within the agreed time frames. The risk of accidental loss of or damage to the Goods passes to the Buyer at the moment the Goods are handed over to them.

7. Moment of Conclusion of the Contract and Transfer of Ownership

7.1. The retail sale contract is deemed concluded from the moment the Buyer performs the Acceptance in accordance with clause 2.2 of this Offer.

7.2. Ownership of the Goods, as well as the risk of their accidental loss or damage, passes to the Buyer from the moment of the actual transfer of the Goods to the Buyer or to a person designated by them.

8. Rights and Obligations of the Parties

8.1. The Seller undertakes to:

  • transfer to the Buyer Goods of proper quality in accordance with the terms of the placed Order;
  • provide the Buyer with accurate information about the Goods to the extent provided for by the legislation of the Russian Federation;
  • ensure the confidentiality of the Buyer's personal data in accordance with the Privacy Policy.

8.2. The Seller has the right to:

  • change the terms of this Offer, the prices, and the assortment of Goods unilaterally;
  • refuse to fulfil the Order where it is impossible to fulfil, having notified the Buyer thereof.

8.3. The Buyer undertakes to:

  • provide accurate information when placing the Order;
  • pay for and accept the Goods on the terms of this Offer;
  • read the contents of this Offer and the accompanying Site pages before placing the Order.

8.4. The Buyer has the right to:

  • receive information about the Goods and their availability;
  • exercise the rights granted to the consumer by the legislation of the Russian Federation.

9. Return and Exchange of Goods

9.1. The return and exchange of Goods are carried out in accordance with the Russian Law “On Protection of Consumer Rights” and the Rules approved by Russian Government Decree No. 2463 of 31.12.2020. The procedure for return and exchange is set out in detail on the Site page “Returns and Exchanges”.

9.2. Goods of proper quality. The Buyer has the right to refuse Goods of proper quality in the manner and within the time frames provided for the distance method of sale. At the same time, perfumery and cosmetic goods are included in the List of non-food goods of proper quality that are not subject to exchange and return, approved by Russian Government Decree No. 2463 of 31.12.2020. Accordingly, Goods of proper quality are not subject to exchange and return on grounds related to shape, dimensions, style, colour, size, or configuration, except in cases expressly provided for by legislation for distance selling.

9.3. Goods of improper quality. In the event that Goods of improper quality are transferred to the Buyer, the Buyer has the right to make the claims provided for by Article 18 of the Russian Law “On Protection of Consumer Rights”, including demanding replacement of the Goods, a proportionate reduction of the price, or a refund of the amount paid. The refund of funds is made by the same method by which payment was made, unless otherwise agreed by the Parties.

10. Liability of the Parties. Force Majeure

10.1. The Parties are liable for the non-performance or improper performance of obligations under this Offer in accordance with the legislation of the Russian Federation.

10.2. The Seller is not liable for the improper performance of the Order if it is caused by the Buyer providing inaccurate or incomplete information.

10.3. The Parties are released from liability for the partial or complete non-performance of obligations if it is the result of force majeure circumstances arising after the conclusion of the contract and beyond the control of the Parties, including natural disasters, military actions, acts of authorities, accidents, and failures in the operation of communication networks.

11. Personal Data

11.1. By placing an Order, the Buyer consents to the processing of their personal data by the Seller for the purpose of performing the contract in accordance with Federal Law No. 152-FZ of 27.07.2006 “On Personal Data”.

11.2. The procedure for processing and protecting the Buyer's personal data is determined by the Privacy Policy posted on the Site.

12. Validity of the Offer and Amendments

12.1. This Offer comes into force from the moment of its posting on the Site and is valid until the moment of its withdrawal by the Seller.

12.2. The Seller has the right at any time to make amendments to the terms of this Offer unilaterally. Amendments come into force from the moment the new version is posted on the Site. The current version of the Offer is always available on this page.

12.3. The version of the Offer in force at the time of placing the Order applies to the relations of the Parties.
